These Terms & Conditions apply to products and services supplied by Officebooth Australia Pty Ltd (“Officebooth”, “we”, “us” or “our”).

By accepting a quotation, paying a deposit, placing an order, requesting that work commence, signing an acceptance or otherwise instructing Officebooth to proceed, the customer (“Customer”, “you” or “your”) agrees to these Terms & Conditions.

Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.

1. Application of these Terms

1.1 These Terms apply to the supply of products and services by Officebooth including:

  • acoustic office booths and pods;
  • meeting rooms and modular rooms;
  • DDA-accessible products;
  • furniture and accessories;
  • freight and delivery;
  • installation;
  • dismantling and relocation;
  • repairs and maintenance;
  • servicing;
  • storage;
  • resale and decommissioning assistance; and
  • related project services.

1.2 A quotation may contain additional or project-specific terms.

1.3 If there is an inconsistency, the following order of precedence applies:

a. specifically negotiated written terms;
b. the accepted quotation or proposal;
c. these Terms & Conditions; and
d. general product information.

1.4 The version of these Terms applying to an order is the version in effect when that order is accepted. Later changes to the website terms do not retrospectively alter an existing contract.

2. Quotations

2.1 Quotations are prepared using information available to Officebooth at the time.

2.2 Unless otherwise stated, quotations are valid for 30 days.

2.3 Unless expressly stated otherwise, all prices are exclusive of GST.

2.4 Quotations may rely upon assumptions concerning:

  • delivery location;
  • site access;
  • loading facilities;
  • lift availability and dimensions;
  • stairs;
  • floor level;
  • working hours;
  • parking;
  • installation conditions;
  • product dimensions;
  • quantities;
  • site readiness; and
  • customer-provided plans, measurements or specifications.

2.5 Any item or service not expressly included in the quotation is excluded from the quoted price.

2.6 An order is accepted when the Customer:

  • signs or otherwise accepts the quotation;
  • pays the required deposit;
  • issues a purchase order accepted by Officebooth; or
  • instructs Officebooth in writing to proceed.

3. Customer information and measurements

3.1 The Customer is responsible for providing accurate and complete information required for the project.

3.2 Where Officebooth relies upon measurements, drawings, plans, photographs or site information provided by the Customer or another party, Officebooth is entitled to rely upon that information unless it is obviously incorrect.

3.3 Officebooth is not responsible for additional costs caused by inaccurate or incomplete information supplied by the Customer, except to the extent Officebooth caused or contributed to the error.

3.4 Where site dimensions or access are critical, Officebooth may recommend or require a site inspection before finalising an installation price.

4. Variations

4.1 The quoted price may be varied where the agreed scope changes after quotation or circumstances materially differ from the assumptions reasonably relied upon when the quotation was prepared.

4.2 A variation may arise from:

  • Customer-requested changes;
  • changes to quantities;
  • product or finish changes;
  • changes to furniture or accessories;
  • changes to delivery location;
  • changed installation dates;
  • additional site attendances;
  • after-hours work;
  • delays caused by site readiness;
  • restricted or previously undisclosed access;
  • stairs, lifts or loading restrictions;
  • requirements for cranes, forklifts, hoists or specialist equipment;
  • additional labour;
  • traffic management;
  • permits or inductions;
  • additional transport;
  • storage or redelivery;
  • quarantine or biosecurity inspections;
  • customs or regulatory inspections;
  • port or terminal charges;
  • government charges;
  • disposal or waste costs;
  • third-party charges that were not reasonably ascertainable when quoted;
  • additional compliance requirements identified after quotation; or
  • latent site conditions that could not reasonably have been identified beforehand.

4.3 Where freight, international transport, port, quarantine or other third-party costs are expressly quoted as estimates or provisional amounts, Officebooth may adjust those amounts to reflect the actual reasonable cost incurred.

4.4 Officebooth will not increase an accepted fixed price simply because the project has become less profitable.

4.5 Where reasonably practicable, Officebooth will notify the Customer of a proposed variation and its cost before undertaking the additional work.

4.6 Customer-requested variations may affect production, shipping and installation dates.

4.7 Where urgent additional work is reasonably necessary to protect persons, property or the goods and prior approval cannot reasonably be obtained, Officebooth may undertake that work and charge the reasonable direct cost.

4.8 If an unexpected variation is substantial and relates to optional work that has not commenced, the Customer may decline that portion of the additional work.

5. Deposits and payment

5.1 Deposit and progress payment requirements will be shown on the quotation or invoice.

5.2 Unless otherwise agreed, production, procurement or factory allocation will not commence until the required deposit has cleared.

5.3 The balance must be paid in accordance with the quotation or invoice.

5.4 Where payment is required before dispatch, delivery or installation, Officebooth may suspend those activities until cleared funds are received.

5.5 A delay in payment may result in:

  • loss of a production slot;
  • change of vessel or freight booking;
  • rescheduling of delivery;
  • rescheduling of installation; and
  • storage charges.

5.6 The Customer remains responsible for undisputed amounts notwithstanding a dispute concerning another part of an invoice.

5.7 Officebooth may recover reasonable external costs actually incurred in recovering overdue amounts, to the extent permitted by law.

6. Made-to-order and customised products

6.1 Many Officebooth products are manufactured, configured, imported or procured specifically for a particular Customer.

6.2 Customisation may include:

  • dimensions;
  • colours;
  • finishes;
  • furniture;
  • electrical configuration;
  • doors;
  • glazing;
  • accessories;
  • monitor mounts; and
  • other project-specific components.

6.3 Once production, procurement or customisation has commenced, an order may not be capable of cancellation without cost.

7. Cancellation by the Customer

7.1 Unless otherwise stated in the quotation, Officebooth allows a Customer to request cancellation within two business days after payment of the initial deposit.

7.2 Where Officebooth has not commenced production, procurement or incurred non-recoverable costs, the deposit will ordinarily be refunded.

7.3 Where the Customer specifically requests expedited commencement within that period, Officebooth may commence work immediately with the Customer’s approval.

7.4 After production, procurement or other commitments have commenced, Officebooth may deduct from any refund the reasonable costs and losses already incurred or irrevocably committed as a result of the order.

7.5 Officebooth will refund any remaining amount after those costs have been accounted for.

7.6 Nothing in this clause affects rights that cannot lawfully be excluded.

8. Change of mind

8.1 Officebooth does not ordinarily accept change-of-mind returns for:

  • made-to-order goods;
  • customised goods;
  • specially imported goods;
  • installed goods; or
  • products procured specifically for a Customer.

8.2 Officebooth may, at its discretion, accept the return of unused standard-stock items in saleable condition.

8.3 Any discretionary change-of-mind policy operates in addition to applicable statutory rights.

9. Product specifications

9.1 Published dimensions, weights and technical specifications may be subject to reasonable manufacturing tolerances.

9.2 Minor manufacturing or component changes may occur between production runs.

9.3 Officebooth may substitute a component with an equivalent or superior component where the original becomes unavailable, provided that the substitution does not materially reduce the functionality or overall performance of the product.

9.4 Material changes will be communicated where reasonably practicable.

10. Colours, materials and renders

10.1 Photographs, renders, colour swatches and digital samples are intended as reasonable representations.

10.2 Actual colours may vary because of:

  • lighting;
  • screen calibration;
  • photographic conditions;
  • manufacturing batches; and
  • natural material variation.

10.3 Samples should be requested where exact colour matching is commercially important.

11. Acoustic and performance information

11.1 Acoustic ratings, noise-reduction figures and other performance information may be based on manufacturer testing or controlled test conditions.

11.2 Actual performance can vary depending on:

  • surrounding noise;
  • building acoustics;
  • installation;
  • door position and seals;
  • ventilation;
  • room layout; and
  • user behaviour.

11.3 Published acoustic performance should not be interpreted as a guarantee of a particular site-specific sound level unless Officebooth has expressly agreed to that requirement in writing.

12. Lead times

12.1 Production, shipping, customs clearance, delivery and installation dates are estimates unless Officebooth expressly agrees in writing that a date is guaranteed.

12.2 Estimated lead times may be affected by:

  • factory production;
  • shipping schedules;
  • vessel changes;
  • port congestion;
  • customs;
  • quarantine;
  • biosecurity inspection;
  • industrial action;
  • weather;
  • transport availability;
  • government action; and
  • events outside Officebooth’s reasonable control.

12.3 Officebooth will use reasonable efforts to meet estimated dates and notify the Customer of material delays of which we become aware.

13. Delivery

13.1 Delivery charges are based upon the information reasonably available at quotation.

13.2 The Customer must disclose relevant access conditions including:

  • stairs;
  • lift dimensions and weight limits;
  • loading docks;
  • loading zones;
  • restricted vehicle access;
  • low-clearance areas;
  • security requirements;
  • induction requirements;
  • parking restrictions;
  • high-rise access;
  • restricted working hours;
  • uneven surfaces;
  • long carrying distances; and
  • any requirement for specialised lifting or handling equipment.

13.3 Additional reasonable charges may apply where actual conditions materially differ from those disclosed.

14. Delivery exclusions

Unless expressly included in the quotation, delivery and installation pricing does not include:

  • cranes;
  • forklifts;
  • scissor lifts;
  • hoists;
  • traffic control;
  • council permits;
  • paid loading zones;
  • parking charges;
  • union or site-specific fees;
  • after-hours premiums;
  • building works;
  • demolition;
  • floor rectification;
  • electrical hardwiring;
  • data cabling;
  • fire services;
  • sprinkler modification;
  • smoke detection modifications;
  • asbestos work;
  • structural engineering; or
  • specialist access equipment.

15. Site readiness

15.1 The Customer must ensure the delivery and installation area is ready at the agreed time.

15.2 Site readiness includes:

  • adequate access;
  • cleared installation area;
  • suitable floor;
  • completed interfering construction works;
  • electricity where required;
  • relevant permissions;
  • building access approval; and
  • safe working conditions.

15.3 If the site is not ready, Officebooth may reschedule the work.

15.4 Reasonable additional labour, transport, attendance or storage charges resulting from the delay may apply.

16. Installation

16.1 Officebooth will carry out or arrange installation where included in the accepted quotation.

16.2 Officebooth may use suitably qualified employees, installers, transport providers and subcontractors.

16.3 Officebooth remains responsible for services performed on its behalf to the extent required by law.

16.4 The Customer must provide reasonable access to the site.

16.5 Minor adjustments identified during commissioning may be completed following initial installation without meaning the installation is incomplete or defective.

17. Existing surfaces and property

17.1 Officebooth and its contractors will take reasonable care while performing work.

17.2 The Customer should notify Officebooth before work begins of fragile, concealed or particularly valuable finishes or services.

17.3 Officebooth is not responsible for pre-existing damage or defects.

17.4 Officebooth remains responsible to the extent property damage is caused by its negligence or breach of contract.

18. Building, fire and accessibility compliance

18.1 Officebooth products are movable or modular workplace products and may interact with building, fire, accessibility, electrical or workplace requirements.

18.2 Unless expressly included within Officebooth’s scope, the Customer remains responsible for obtaining any required:

  • building approvals;
  • landlord approvals;
  • fire-engineering approvals;
  • sprinkler alterations;
  • smoke detection alterations;
  • evacuation approvals;
  • electrical works;
  • occupancy approvals; and
  • other site-specific regulatory approvals.

18.3 Products described as “DDA accessible”, “accessible” or similar are designed with accessibility considerations in mind.

18.4 Final compliance of an installation depends upon the complete site, including:

  • access paths;
  • doorway clearances;
  • circulation space;
  • floor levels;
  • surrounding furniture;
  • building configuration; and
  • applicable project requirements.

18.5 Officebooth does not represent that a particular project is fully compliant with all applicable accessibility or building requirements unless Officebooth has expressly been engaged in writing to assess that compliance.

19. Electrical, data and fire services

19.1 Unless expressly included, Officebooth installation does not include alteration of building electrical circuits, data systems, smoke detection, alarms or sprinkler systems.

19.2 Any work that legally requires a licensed trade must be carried out by an appropriately licensed person.

19.3 Officebooth may coordinate such services where agreed.

20. Failed delivery and redelivery

20.1 If delivery cannot be completed because of circumstances within the Customer’s reasonable control, Officebooth may return or store the goods and arrange redelivery.

20.2 This may include circumstances where:

  • the site is closed;
  • access is unavailable;
  • the nominated representative is unavailable;
  • the site is unsafe;
  • required approval has not been obtained; or
  • the installation area is not ready.

20.3 Reasonable handling, storage and redelivery costs may apply.

21. Storage

21.1 Where goods are ready for delivery but cannot be delivered at the agreed time for reasons outside Officebooth’s control, Officebooth may arrange storage.

21.2 Storage will be charged at the reasonable actual or agreed rate.

21.3 Officebooth will provide reasonable notice before storage charges begin where practicable.

21.4 Long-term uncollected goods may be dealt with in accordance with applicable uncollected-goods legislation after required notice has been given.

22. Inspection and transit damage

22.1 The Customer should inspect the goods as soon as reasonably practicable after delivery.

22.2 Visible freight damage should preferably be:

  • noted on the delivery documentation;
  • photographed; and
  • reported to Officebooth promptly.

22.3 Customers are requested to report apparent transit damage within five business days where possible so carrier claims can be pursued promptly.

22.4 This reporting period does not remove statutory rights that cannot legally be excluded.

23. Warranty

23.1 Applicable express warranty periods will be stated in the relevant quotation, product documentation or Officebooth Warranty Policy.

23.2 Different Officebooth ranges may have different warranty periods.

23.3 An express warranty is additional to rights under the Australian Consumer Law where those rights apply. Consumer guarantees cannot simply be replaced by a manufacturer’s warranty.

23.4 Warranty coverage may exclude damage caused by:

  • misuse;
  • accidental damage;
  • unauthorised modifications;
  • inappropriate relocation;
  • installation by unrelated parties;
  • inadequate maintenance;
  • abnormal environmental conditions; or
  • fair wear and tear,

to the extent the relevant failure was caused by that circumstance.

23.5 Officebooth’s separate written Warranty Policy will contain the prescribed Australian Consumer Law information required for any warranty against defects. The ACCC requires specific information and mandatory wording in such warranties.

24. Consumer guarantees

24.1 Nothing in these Terms excludes, restricts or modifies rights or remedies that cannot legally be excluded.

24.2 Where the Australian Consumer Law applies, products and services are subject to statutory consumer guarantees.

24.3 Depending upon the nature of a failure, available remedies may include repair, replacement, refund, re-performance, cancellation and compensation for reasonably foreseeable loss.

25. Repairs and servicing

25.1 Repair and servicing quotations are based on faults reasonably identifiable from the information available before work begins.

25.2 Further issues may become apparent after inspection or dismantling.

25.3 Officebooth will seek approval before undertaking material additional repair work where reasonably practicable.

25.4 Availability of parts for products made by other manufacturers cannot be guaranteed.

25.5 Servicing a third-party product does not make Officebooth responsible for unrelated defects in that product.

26. Relocation

26.1 Relocation services may include:

  • dismantling;
  • packing;
  • transport;
  • storage;
  • reassembly;
  • adjustment; and
  • recommissioning.

26.2 Existing products may contain:

  • wear;
  • prior damage;
  • missing components;
  • unauthorised modifications; or
  • alignment issues.

26.3 Officebooth is not responsible for pre-existing defects.

26.4 Additional repairs or parts identified during relocation will be treated as a variation.

27. Resale and decommissioning

27.1 Any resale valuation or suggested resale price is an estimate unless Officebooth agrees in writing to purchase the product itself.

27.2 Resale value may depend upon:

  • brand;
  • model;
  • age;
  • condition;
  • location;
  • demand;
  • dismantling cost;
  • transport cost; and
  • availability of replacement components.

27.3 Officebooth does not guarantee that a purchaser can be found.

27.4 Any consignment, agency or commission arrangement may be subject to a separate written agreement.

28. Title to goods

28.1 Unless otherwise agreed, ownership of goods remains with Officebooth until Officebooth has received full payment for those goods.

28.2 Risk ordinarily passes to the Customer when goods are delivered to the agreed site, except to the extent loss or damage is caused by Officebooth while installation remains under Officebooth’s control.

28.3 Retention-of-title arrangements can constitute security interests under the Personal Property Securities Act. The Australian PPSR recommends both appropriately drafted contractual terms and registration where suppliers want to protect an interest in goods supplied on credit.

29. PPSA

Where applicable:

29.1 The Customer acknowledges that these Terms may create a security interest in goods supplied by Officebooth.

29.2 The Customer agrees to provide information and reasonable assistance necessary for Officebooth to protect or register that interest under the Personal Property Securities Act 2009.

29.3 Officebooth may register an interest on the Personal Property Securities Register where appropriate.

30. Suspension of work

30.1 Officebooth may reasonably suspend production, dispatch, delivery or services if:

  • an amount is materially overdue;
  • necessary information has not been supplied;
  • the site is unsafe;
  • the Customer prevents performance;
  • required approval has not been obtained; or
  • continuing would breach a legal or regulatory requirement.

30.2 Officebooth will notify the Customer of the reason and, where reasonably possible, allow an opportunity for it to be rectified.

31. Default and insolvency

31.1 If either party commits a material breach, the other party may give written notice requiring the breach to be remedied within a reasonable period.

31.2 Where the breach cannot reasonably be remedied, or an insolvency event materially affects performance, rights available under general law may be exercised.

31.3 Nothing in this clause permits termination in circumstances prohibited by insolvency laws.

32. Safety

32.1 Safety takes priority over delivery or installation deadlines.

32.2 Officebooth may stop or postpone work where it reasonably considers conditions unsafe.

32.3 Work will recommence when the relevant safety issue has been reasonably resolved.

33. Force majeure

33.1 Neither party is liable for delay or failure caused by events outside its reasonable control to the extent those events prevent performance.

33.2 Examples may include:

  • natural disasters;
  • severe weather;
  • fire;
  • war;
  • civil unrest;
  • industrial action;
  • pandemic restrictions;
  • government action;
  • port closures;
  • widespread freight disruption; or
  • infrastructure failure.

33.3 The affected party must take reasonable steps to minimise the effect of the event.

33.4 Amounts already due for products or services supplied remain payable.

34. Liability

34.1 Nothing in these Terms excludes liability that cannot legally be excluded.

34.2 To the extent permitted by law, Officebooth is not responsible for loss caused by:

  • inaccurate Customer information;
  • unauthorised modifications;
  • misuse;
  • work carried out by unrelated third parties;
  • pre-existing defects; or
  • events outside Officebooth’s reasonable control,

except to the extent Officebooth caused or contributed to the loss.

34.3 Each party must take reasonable steps to mitigate loss.

34.4 Nothing in this clause is intended to exclude rights under the Australian Consumer Law.

35. Intellectual property

35.1 Officebooth retains rights in its:

  • branding;
  • website content;
  • marketing materials;
  • photography;
  • drawings;
  • layouts; and
  • original documentation.

35.2 Manufacturer intellectual property remains owned by its respective owner.

35.3 Product information supplied for a Customer’s project may be used for normal project design, procurement and approval purposes.

36. Photography and project marketing

36.1 Officebooth may request permission to photograph or record completed installations for:

  • website use;
  • case studies;
  • social media;
  • brochures; and
  • other marketing material.

36.2 Officebooth will take reasonable care not to publish confidential information visible at the site.

36.3 A Customer may notify Officebooth in writing that its:

  • name;
  • logo;
  • premises; or
  • installation

must not be publicly identified.

36.4 Where a project is subject to confidentiality requirements advised to Officebooth, those requirements will be respected.

37. Confidential information

37.1 Each party must take reasonable steps to protect commercially confidential information supplied by the other.

37.2 Confidentiality does not apply to information that:

  • is publicly available;
  • was already lawfully known;
  • was independently developed;
  • must be disclosed by law; or
  • must reasonably be disclosed to contractors or professional advisers to perform the project.

38. Privacy

Personal information is collected, stored, used and disclosed in accordance with Officebooth’s Privacy Policy.

39. Website information

39.1 Officebooth takes reasonable care to maintain accurate website information.

39.2 Website content may change without notice.

39.3 Website prices, illustrations and product specifications do not constitute a binding quotation unless expressly stated.

39.4 An obvious website pricing or typographical error may be corrected before an order is accepted.

40. Third-party links and services

40.1 Officebooth may provide links to third-party websites or services for convenience.

40.2 Officebooth is not responsible for unrelated third-party websites or their content.

41. Leasing and financing

41.1 Officebooth may offer or facilitate rental, lease or finance options.

41.2 Such arrangements may be provided by Officebooth or a third party and will be subject to separate terms.

41.3 Where separate finance or lease terms conflict with these Terms, the specific finance or lease agreement prevails for that arrangement.

42. Electronic communications

42.1 Notices, approvals and variations may be communicated electronically, including by email.

42.2 Electronic signatures and electronic acceptance may be used where permitted by law.

43. Disputes

43.1 If a dispute arises, both parties should first make reasonable efforts to resolve it directly.

43.2 Either party may provide written details of:

  • the issue;
  • supporting information; and
  • the proposed solution.

43.3 The parties may agree to mediation if direct discussions do not resolve the matter.

43.4 Nothing prevents either party from:

  • pursuing an urgent remedy;
  • making a statutory claim; or
  • exercising a consumer right.

44. Severability

If a provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary without affecting the remaining provisions.

45. No waiver

A failure or delay by either party to enforce a right does not automatically waive that right.

46. Changes to these Terms

46.1 Officebooth may update these Terms for future transactions.

46.2 Updated terms apply to orders accepted after their effective date.

46.3 Existing accepted orders continue under the version applicable when they were accepted unless the parties agree otherwise.

47. Governing law

These Terms are governed by the laws of New South Wales, Australia.

Subject to any statutory rights regarding jurisdiction, the parties submit to the courts and tribunals having jurisdiction in New South Wales.
